ViceVoxel Standard License Agreement (VSLA)

1. Overview
This End User License Agreement (“Agreement”), officially referred to as the One-Time Purchase License Agreement, is a core component of the ViceVoxel Standard License Agreement (VSLA). It is entered into by and between ViceVoxel Studios (“Licensor”) and you (“Licensee”).
By purchasing or downloading assets (“Assets”) from ViceVoxel.com, you agree to the terms outlined herein. This Agreement governs the licensing of digital Assets—Assets are licensed, not sold.
Please read this Agreement carefully. Accessing or using any portion of our Assets constitutes your acceptance of these terms. If you do not agree to all terms, you may not use our Assets.
2. Definitions

Asset: A digital item made available by the Licensor via the Website, either for purchase or free download.

Product: Any project, service, or deliverable created by the Licensee using the Assets.

Website: The official site of the Licensor at ViceVoxel.com.

Licensee’s Team: Employees, contractors, or collaborators involved in the development of Products using the Assets, excluding individuals solely involved in audio, music, or project management roles.
3. License Scope
3.1. Ownership
All rights not expressly granted remain with the Licensor. Ownership of the Assets is not transferred.
3.2. License Grant
The Licensor grants the Licensee a perpetual, worldwide, non-exclusive, and non-transferable license to use the Assets under the terms below.
3.3. Standard License Includes:
a) Internal Use
Assets may be used on unlimited internal systems and copied for internal operations and backups.
b) Product Integration
Assets may be used in Products and associated marketing materials (graphics, videos, print, etc.), provided the Assets are not resold or distributed as standalone files.
c) Modifications
Assets may be modified or adapted solely for integration into Products or marketing content.
d) Third-Party Authorization
The Licensee may authorize third parties (e.g., freelancers or studios) to use the Assets strictly in relation to Licensee-directed Products, under the same terms.
3.4. Modifying an Asset does not grant ownership or additional rights beyond what is described in this Agreement.
3.4.1. Seat and Distribution Limitations
Assets may be used by the Licensee and the Licensee’s Team as defined in Section 2. Assets must not be redistributed beyond the Licensee’s Team or stored on publicly accessible drives, platforms, or cloud services. If the team expands beyond 50 people, the Licensor recommends contacting support for extended terms, though this is not mandatory for this license.
3.5. Requesting New Use
For any use not explicitly granted, a written request must be submitted to the Licensor. Approval is at the Licensor’s sole discretion.
3.6. Free Assets
Usage of free Assets is governed separately by the Free Asset Usage Policy, a supplemental section of the ViceVoxel Standard License Agreement (VSLA).
3.7. Commercial Use Summary
This License permits use of the Assets in:

Commercial and client projects (games, films, videos, ads, apps, etc.)

Monetized content (YouTube, Twitch, Patreon, etc.)
-
Internal and external marketing materials
-
Commercial game engines including Unity, Unreal Engine, Godot, etc.
-
Both personal and studio projects, with no seat limits
The License is valid for one entity (individual, company, or studio). If more than one company or studio will use the Assets, each must purchase a separate license.
3.8. Permitted Industries
This License applies across multiple industries, including:

Games (indie or AAA)
-
Animation and film
-
Architecture and visualization
-
Mobile and web applications
-
Education, training simulations, and VR/AR
Assets may be used across these industries without the need for separate licenses.
4. Usage Restrictions
The Licensee must not:

Resell or redistribute the Assets as standalone items.
-
Sub-license or transfer license rights without written consent.
-
Use Assets in NFTs or blockchain-based projects.
-
Use Assets in metaverse/virtual worlds (e.g., Decentraland, The Sandbox).
-
Train or use Assets in AI/generative models or datasets.
-
Sell 2D renders generated from 3D models in isolation.
-
Infringe on the intellectual property rights of the Licensor or any third party.
A written request may be submitted for exceptions, subject to Licensor approval.
4.1. Attribution (Optional)
Attribution is not required, but appreciated. Example:
“3D assets provided by ViceVoxel.com”
License holders may display a “Licensed by ViceVoxel” badge on their project pages or pitch decks if desired.
4.2. Prohibited Redistribution Channels
Assets may not be resold, repackaged, or redistributed through:

Asset marketplaces (e.g., Unity Asset Store, Unreal Marketplace, CGTrader, etc.)
-
Bundle or giveaway platforms
-
NFT platforms or AI training datasets
This restriction applies even if the Assets have been modified.
5. Termination
5.1. Voluntary Termination
The Licensee may terminate this Agreement at any time by permanently deleting all Assets and any use of them in Products and marketing materials.
5.2. Breach of Terms
The Licensor may terminate the Agreement if the Licensee breaches any term and fails to remedy the breach within 30 days of written notice. Upon termination, the Licensee must:

Stop using the Assets.

Delete all copies from all systems and backups.

Remove Assets from all Products.
-
Cease use in promotional content.
6. Delivery
Assets are delivered digitally via download from the Website. Any alternative delivery method agreed upon will override this.
7. Payments & Taxes

Payment is due as listed on the Website or agreed in writing.

All applicable taxes are included in pricing.
-
Payments are accepted via PayPal Systems.
-
Chargebacks result in immediate cancellation of the license.
-
Licensee is responsible for accurate payment information.
-
Disputes with PayPal must be resolved directly with PayPal.
-
Each party is responsible for its own tax obligations.
8. Refund Terms
8.1. General Policy
All digital Asset purchases made through ViceVoxel.com are considered final. Due to the non-returnable nature of digital content, refunds are only offered under specific and limited circumstances as outlined below. By purchasing from ViceVoxel Studios, you acknowledge and agree to these terms.
8.2. Eligible Refund Conditions
Refunds may be granted solely at the discretion of the Licensor under the following conditions:

Duplicate Purchases
The Licensee unintentionally purchases the same Asset multiple times under the same account. -
Non-Delivery
The Asset fails to download due to an error originating from the Licensor’s delivery system, and the issue cannot be resolved within 5 business days from notification.
Downloaded Assets are not eligible for refunds. If the Asset has been successfully downloaded, either partially or in full, the transaction is considered complete and non-refundable.
All refund requests must be submitted in writing to Ahmed@vicevoxel.com within 7 calendar days of the original transaction. Requests must include the order number, purchase date, and a detailed explanation.
8.3. Non-Refundable Scenarios
The following scenarios do not qualify for a refund:

The Asset has been downloaded

Change of mind after purchase

Asset incompatibility with third-party software
-
Misunderstanding of the Asset’s description or limitations

Minor technical flaws not impacting functionality
-
Lack of technical knowledge or experience
-
Requests submitted after the 7-day window
8.4. Post-Refund Obligations
If a refund is granted, the Licensee’s rights under the original license are immediately revoked. The Licensee must:

Permanently delete all Asset files from all systems, drives, backups, and project folders
-
Remove all Assets from active or archived Products
-
Cease any and all usage of the Asset, including in promotional or public-facing content
Failure to comply constitutes a breach of this Agreement.
8.5. Chargebacks and Disputes
If a chargeback is initiated, the License will be considered void. ViceVoxel reserves the right to deny future access to its services, revoke all active licenses, and report the incident to applicable fraud monitoring systems.
Disputes initiated through PayPal or other payment processors should be resolved directly with those services. The Licensor is not responsible for the resolution outcome of third-party disputes.
8.6. Policy Revisions
ViceVoxel Studios reserves the right to revise this Refund Policy at any time. Any modifications will not affect purchases made before the policy change, unless required by law.
9. Warranties & Limitations
9.1. "As Is"
Assets are provided “as is”, without warranty. The Licensor is not liable for any direct or indirect damage resulting from their use.
9.2. Asset Inspection
Licensee must inspect all Assets upon download. Any defects must be reported within 7 days. Failure to do so will be deemed acceptance.
9.3. Limited Liability
Licensor is liable only in cases of:

Willful misconduct or gross negligence

Breach of essential contractual obligations
9.4. Support
Support may be offered but is not guaranteed. Availability may change without notice.
10. Legal Jurisdiction
Disputes shall first be addressed through good-faith negotiations. Failing that, legal disputes will be governed by the laws of Texas, United States, and resolved by its courts.
11. Final Provisions
This Agreement represents the entire legal agreement between the Parties.
If any provision is held to be unenforceable, the remaining provisions shall remain valid.

11.1. Agreement Versioning
This Agreement may be updated periodically. The version in effect at the time of your purchase will remain applicable unless otherwise agreed in writing.
